1. Definitions

• Service: All platforms, tools, apps, and services provided by MindBoard.ai.
• Content: User-submitted or AI-generated text, files, documents, or media.
• Your Content: Anything uploaded or submitted by you.
• Subscription: Paid tier granting access to enhanced services.
• Applicable Law: Local, national, or international laws that apply.

2. Service Description

MindBoard.ai provides a knowledge management platform powered by AI that helps users structure, analyze, and share knowledge. Features include:

• Hierarchical visual interface for organization
• AI-generated learning and research frameworks
• Document upload, search, and analysis
• Research Agent (Pro tier)
• Collaborative knowledge boards
• 18-language support

Subscription Levels

• Learner: Core AI framework and chat
• Pro: Research agent and document intelligence
• Enterprise: Full organization support with custom services

3. User Accounts & Eligibility

• Users must be 18 or older. Ages 13–17 may use with verified parental consent.
• You agree to keep your account secure and your info current.
• You are responsible for activity on your account.

4. Acceptable Use

Prohibited:

• Illegal, harmful, or rights-infringing content
• Reverse engineering or copying platform functions
• Misuse of AI features (e.g., to produce misinformation or violations)

AI Usage Notice:

• You are responsible for verifying AI-generated content.
• Do not rely on it for legal, medical, or financial decisions.
• AI output may be inaccurate and must be used with discretion.

5. Intellectual Property & AI Content

5.1 Platform IP

MindBoard.ai owns all system content and features. Our visual AI system is patent-pending.

5.2 Your Content

You retain ownership. By using the platform, you grant us a limited license to:

• Operate and maintain the Service
• Improve systems (aggregated/anonymized only, unless you opt out via your account privacy settings or by contacting support@mindboard.ai)

5.3 AI-Generated Content

You own your AI-generated content. However, we make no warranties about its accuracy, legality, or fitness for any purpose. You agree not to use AI-generated outputs that may infringe third-party intellectual property rights or contain data derived from third-party sources without authorization.

6. Privacy & Data Use

Our Privacy Policy outlines how we handle your data. Key points:

• We do not sell personal data.
• You may request deletion or export.
• Export is currently supported in JSON format (other formats may be supported in the future).
• Security and regulatory compliance (GDPR, CCPA) is maintained.
• We will notify you of any confirmed data breach affecting your personal data within 72 hours of discovery.

• We aim to conform to WCAG 2.1 AA accessibility standards where commercially feasible.
• You agree to comply with all applicable U.S. export control and sanctions laws.

7. Payment Terms & Refunds

7.1 Subscriptions

• Billed in advance (monthly or annually)
• Subscriptions auto-renew each cycle unless cancelled through your account settings before the next billing period

7.2 Refunds

• 10-day refund for first-time subscribers via support@mindboard.ai
• Otherwise non-refundable unless required by law

7.3 Free Trials & Price Changes

• Trials convert automatically unless canceled
• We notify users via email at least 30 days before pricing changes

8. Availability & Service Changes

• We aim for high availability, but uninterrupted service is not guaranteed.
• We may change or retire features with advance notice.

9. Disclaimers & Limitation of Liability

THE SERVICE IS PROVIDED "AS IS."

• No warranties (express or implied)
• No liability for indirect or incidental damages
• Total liability capped at your last 12 months of payments
• Excludes claims for gross negligence or willful misconduct
• Enterprise customers may have separate SLAs or agreements outlined in a Master Subscription Agreement

10. Indemnification

You agree to indemnify us against losses related to:

• Your violation of these Terms
• Content you upload or share
• Your breach of laws or third-party rights

11. Termination

• You may close your account anytime. Access continues until billing cycle ends.
• We may suspend/terminate for violations. We'll notify you unless there's a legal or urgent reason.
• Your data will be deleted from active systems within 30 days of account closure. Backups may persist for up to 90 days.
• You can export data before deletion.
• Sections 5, 9, 10, 12, and 17 shall survive account termination.

12. Governing Law & Disputes

• Governed by Delaware law
• Disputes resolved via arbitration (AAA Rules, Wilmington or virtually)
• No class actions; individual claims only
• You may opt out within 30 days by emailing legal@mindboard.ai

13. Changes to Terms

We will notify users via email at least 30 days in advance of material changes. For non-material changes, we will provide at least 7 days' notice. Notice is deemed delivered 24 hours after sending to the email address on file.

16. Third-Party Services & Force Majeure

• We use third-party services like Stripe and Supabase. They have separate terms.
• We are not liable for events outside our control (e.g., outages, disasters).

17. Miscellaneous

• Feedback may be used freely without obligation.
• Beta features are experimental and use is at your own risk.
• These Terms are the full agreement and supersede all prior terms.
• If any clause is invalid, the rest remain effective.
• You may not assign rights; we may assign without restriction.
• This English version governs if there's any conflict with translations.
